| 0:00.0 | Welcome to the Ken Macquarie show. Today on our show, we have Maricio Rould, and him and Ken just co-authored a book called The ABCs of Raising Capital. So we're going to be discussing that today. |
| 0:10.2 | Yeah, timely, timely book, man. Dude, big time. I know. We just like raising money is hard. Getting harder by the day. |
| 0:17.9 | Well, it's supposed to be hard. Like, what we just went through was easy. If it wasn't hard, everybody would do it. I know. And just for some perspective, I mean, why don't you tell everybody like you were an attorney that did a lot of the private placement memorandum, he had lots of clients. I don't know. How much money did flow through your? We've lost track. It's over $5 billion. |
| 0:38.0 | It's probably close to the 10. And at some point, we just, it's just a vanity number at some point. But yeah, we did a problem. I mean, we were doing 200 of these every year. I mean, at our peak. Yeah. So you got an insider view of deals. Because what, if you guys don't know what the PPM is if let's say I tie up a deal and then I put a business plan together, |
| 0:55.0 | well, that's just one piece. Then I give it to Maricio and he actually puts what's called a PPM, right? |
| 1:00.8 | Yeah, it's a private placement memorandum. It's your disclosure documents, which are required. |
| 1:05.9 | So you saw hundreds and hundreds and hundreds of deals at once, right? Oh, look at that. |
| 1:13.0 | There's the book. |
| 1:14.1 | And today we'll be talking about the ABCs of raising capital. |
| 1:17.4 | But I think what's interesting, though, for those of you listening that aren't trying to raise |
| 1:21.1 | capital and your investors, we're also going to be talking about what you need to be looking |
| 1:25.3 | at when looking to invest in something from |
| 1:28.0 | someone who is raising capital. So we're really hitting both directions. Well, I think the real |
| 1:33.7 | issue, if you're to pinpoint it, when money's easy to raise and deals are closing and everybody's |
| 1:41.6 | making money and there's all this call it party time nobody really |
| 1:47.1 | looks at anything yeah right so but when it hits the wall like it started doing that's |
| 1:53.0 | actually when all these agreements come out that's actually when that's why this book is timely |
| 1:58.1 | because there are things in the book, clearly, that are going |
| 2:01.8 | to prevent you from getting in trouble if you want to be able to get into the raising capital |
| 2:06.6 | business and buy stuff because most people don't have money. |
| 2:10.4 | Most people find a deal and then they need it. |
| 2:13.5 | And so the book is going to walk you through some of the very, very basic moves that you need to put in place before you actually raise capital. |
