We are doing an early morning live stream here as we've got some breaking news that I felt

like was probably worth covering before we go through the full day of market trading

So we're doing this before market opens, switching up the schedule a little bit.

As you may have seen already, Elon Musk has submitted an offer to buy the entirety of

Twitter for about $43 billion or about $54 per share actually to be precise.

$54.20, Elon had to get the $4.20 in there somewhere and he did that with his offer.

So we're just looking quickly here at the 13D filing that was posted the SEC this morning

that contains the details of Elon's offer.

We'll talk a little bit about what that might mean for Twitter, what that might mean

for Elon, and what that might mean for Tesla as well.

So as we can see here, all cash consideration, common stock, $54 per share, represents

a 54% premium over the closing price on January 28th, which as we learned from this filing

is actually the first day that Elon Musk began acquiring Twitter stock.

So previously we had a date of March 14th, that was when he crossed the reporting threshold,

but Elon has actually been acquiring shares for a couple months prior to that as well.
