Hey everybody, it's Ken, and we're here with Maricio, Rich, Kathy, and Andrew, and we're all

syndicators of some sorts.

And so what we wanted to do while we're all together is talk about some of the horror

stories or some of the reasons

people are syndicating because right now everyone's wondering, where are we in the market?

And there's a lot of money being raised right now, right?

So, Maricio, I know you put together hundreds of these PPMs who have to place of memorandums.

So what are some of the things that you're seeing, mistakes perhaps?

Well, I think the biggest mistake, especially first timers, they're not even realizing

they're syndicating the issue of security.

So they're not even following the security tools, right?

So they just think that because they were fancy or like, they're buying real estate, first

of all.

So like, why is the SEC involved or maybe

i'm doing joint venture or i'm not i'm not i'm not for worry about that which is you know

couldn't be further from the truth so anytime you take any money from investors we're generating

the profits you're dealing with with security so that's so that's number one even a family member

even a family there's no exemption just even if there's your dad, like, everyone's like, oh, she's my dad.
